Indus Holdings Inc (OTCMKTS:LOWLF) purchased Lowell Herb Co’s assets for $39 million. The deal also includes acquiring production assets, product portfolio, and Lowell Smokes brands from The Hacienda Group.
Indus will issue 22.643 million subordinate voting shares and a cash of $4.1 million to Hacienda. Following the acquisition, Hacienda will manufacture Lowell products for some time.
Lowell Herbs engages in the manufacture and distribution of highly regarded and unique premium packaged flower, concentrates, pre-roll, and vape products.
Following the takeover, Indus will change its name to Lowell Farms Inc. Its warrants and subordinate voting shares will trade on CSE with effect from March 5, 2021, under the ticker LOWLF. The existing shareholders of the company need not take any action following the name change.
The largest shareholder in Lowell and the founder of Beehouse, Gregory Heyman, said the integration of Indus with Lowell will create a leading manufacturer of cannabis in California.
The investors of Lowell will hold a stake of 9.3% in the new company. In 2020, Lowell reported revenues of $14.9 million. Its pre-rolls worth over $26 million are sold through dispensaries in 2020, an increase of 22 million from the previous year.
The self-distribution strategy of Lowell helps to satisfy just 15% of the demand of Californian dispensaries. According to Indus, its delivery model – hup and smoke allows catering 85% of the dispensaries’ requirements in California in just 24 hours.
Pays a fine of over $545,000
Lowell is charged with managing the business without a license by CDFA (the California Department of Food and Agriculture) in 2019. CDFA seized more than 1,400 pounds of marijuana and thousands of jarred cannabis products and pre-rolls in the raids.
An understanding is reached in 2020 to settle the case by paying a fine of over $545,000. It helps to preserve the licenses. However, Lowell can overcome these obstacles with the help of Indus and make it a $1 billion brand.
