Khiron Life Sciences Corp (OTCMKTS:KHRNF) Gets Regulatory Nod To Complete Acquisition Of NettaGrowth International Inc



Khiron Life Sciences Corp (OTCMKTS:KHRNF) has received regulatory nod on June 5, 2019 to take over Uruguay based company NettaGrowth International Inc from TSX Venture Exchange Inc. Following the takeover, NettaGrowth will own all the shares of Dormul S.A. Khiron is expected to close the takeover in the middle of June 2019.

Raises $25 million

The core operations of medical cannabis company Khiron are located in Latin America. Khiron has raised funds of $25 million through bought deal financing. As per the terms of the deal, BMO Capital Markets and Canaccord Genuity Corp, the joint bookrunners and co-lead underwriters, have agreed to acquire 8.621 million common shares of Khiron on behalf of a syndicate of underwriters at a price of $2.90. The deal is subject to regulatory approvals.

In addition, the underwriters also have an option to acquire 15% of the common shares of Khiron at $2.90 within 30 days of closing the deal. Khiron can mobilize additional funds of $3.75 million if the underwriters exercise this option. The gross proceeds will be $28.75 million.

Working capital

Khiron will use the gross proceeds for general corporate purposes, working capital and for expanding the operating capacity.

The underwriters will receive a commission equivalent to 6% of the proceeds in cash and 6% of the common shares under non-transferable compensation option. They can exercise each compensation option to acquire common share at the issue price within 24 months of closing the deal.

The company has scheduled the closing of offering on or about May 2019. It is subject to regulatory nods. The shares under this offering may not be sold in the US or registered under the US Securities Act of 1933.

Completes facilities in Ibague

Khiron has completed the construction and started the operations in its Ibague, Colombia based extraction, cultivation and analysis facilities. It also made considerable progress in the commercial registration/ manufacturing of medical cannabis products. The company targets the medical cannabis products at 6 million patients in the nation. The company owns modern medical cannabis processing and cultivation facilities in Latin America. Khiron also signed distribution accords for the supply of high quality cannabis manufactured in its main facility.
