The Green Organic Dutchman (OTCMKTS: GRODF) has announced that it will amend the amended credit arrangement between a Canadian lender and The Green Organic Dutchman Ltd, its subsidiary. The company made the original agreement on September 29, 2021.
Changes the parties made to the agreement
The company’s revolving credit limit will still be $25 million. The new deal includes an increase in the term from $17 million to $20 million. It also has a warrant issued to the lender and its affiliates. Moreover, the parties will change some of the covenants in the credit agreement. The new contracts also stated that the lender would allow The Green Organic Dutchman to terminate their agreement without its approval. In this case, the company would have to present the agent with a 90-day notice and pay off all the money lent in the arrangement period.
Other terms of the agreements, such as the June 30, 2023 maturity date, will remain as they are.
Because of the amendments, the borrower has given 3,000,000 warrants to the lender and some of its affiliates. The warrant will allow the agent to buy common shares. Each share will go for one warrant for 60 months from the date of issuance at $0.14 per warrant share.
According to the interim CFO and CEO of The Green Organic Dutchman, Sean Bovingdon, the amendment gives the company more working capital to move into 2022. It also allows it to reach profitability and grow the company.

The company executed a $37.8 million private placement with a US institutional investor on June 8, 2020, via the issuing of 2 senior unsecured convertible notes. The notes began to be amortized in October 2020, with bi-monthly installment payments due on the 1st and 10th business days of every month before the maturity period of June 8, 2023, in cash or shares.
The note holder had the alternative of converting accelerated installment amounts in part or in full at an installment price determined computed in line with the provisions of the notes during the time between payment dates. The total debt had already been serviced in full via cash payments and share excitations as of December 31, 2021. As a result, the debt is fully extinguished eighteen months ahead of the maturity date.
Medipharm doesn’t have any major debt, and its balance sheet is clean
MediPharm has no additional major debt and full control of its assets, which comprises two GMP facilities in Ontario, Canada, and another in the state of Victoria in Australia. Production infrastructure and machinery are also significant assets.
