Wildflower Brands Inc (OTCMKTS:WLDFF) Completes Takeover Of City Cannabis Corp For $45 Million And Gains Access To Two Operating Retail Cannabis Stores

Wildflower Brands Inc (OTCMKTS:WLDFF) has completed the takeover of previously announced City Cannabis Corp for 60 million common shares. The price for each share is fixed at $0.75. The total consideration of the deal is valued at $45 million. A majority of the shareholders receiving the proceeds are existing shareholders in Wildflower. 98% of the considered shares are in a lockup condition voluntarily.

The shareholders have approved the deal with a simple majority in a meeting held on June 26, 2019. Following the approval, Wildflower has released an escrow release note to the Odyssey Trust Company. With the release of the Escrow note, Subscription Receipt Agent has released the funds to the company after deducting the expenses and commissions.

As per the terms of the lock-up accord, the shareholders can unlock 10% of the considered shares on June 28, 2019. The shareholders can offload 15% of the considered shares every six months for three years.

Combined revenues of over 1.5 million

City Cannabis operates two retail cannabis stores and expects to open another two in July 2019. It also has five leases having retail applications under the regulatory process. Wildflower expects to improve cash flow following the combined revenue of over $1.5 million in May 2019 and would use the cash for business expansion.

Wildflower adds Pure Plus and Pure Tinctures

Wildflower has extended the CBD wellness line by including Pure and Pure Plus Tinctures. The company has formulated the Pure and Pure Plus Tinctures using hemp seed oil, milk thistle, and hemp derived CBD. Innovative Tinctures are developed to improve the functioning of heart and liver and offer relief from pain. The company includes hemp seed oil in the new formulation with an optimal ratio of Omega6 and Omega-3 fatty acids. The tinctures can be applied using a dropper sublingually or used in beverage and food preparation.

The new product launch is to fulfill the demand from individual and wholesale customers for high-quality products. Wildflower will expand the product line. The CBD+ wellness line blends the natural healing properties CBD derived from hemp. Plant-based alternatives are for a daily regimen.
